Terms of Service

This is a draft policy prepared for review. It should be reviewed by legal counsel before being treated as binding.

Who this covers

These terms govern use of this site and the dealer portal at portal.taft-consulting.com, both operated by Taft Consulting, 1580 N Batavia, Suite 2, Orange, CA. We sell two different things, and each is governed by the section that names it below, not by a single blanket agreement stretched to cover both.

Driver licences sold to dealers

Control4 DriverWorks driver licences are sold to authorised Control4 dealers through the dealer portal, into a licence pool held by the dealer's own account. A licence is one of three kinds, and the kind decides how it ends:

  • Lifetime — no expiry date; the licence remains valid indefinitely once purchased and assigned.
  • Subscription — valid through a lease period, billed on a card kept on file with Square, and stops authorising at the end of that period unless renewed.
  • Trial — valid for 14 days from issue. A site that has used a trial of a given driver may not start a second trial of that same driver.

A licence purchased into a dealer's pool is assigned to a specific site when the dealer authorises it there. Assigning and revoking an assignment are both recorded permanently — revoking never erases the record that an assignment existed, including during a dispute over who is entitled to use a licence. A licence assigned to a site remains authorised for that site even if the dealer who assigned it later has their own account removed, and an end user may have a licence transferred to a new dealer if their original dealer has ceased trading or failed them, including where that dealer has attempted to revoke it. A revocation made after such a transfer request is itself part of the record reviewed.

Consulting and integration work

Platform development, server builds, infrastructure and Control4 integration work performed directly for a client is not sold as a licence and is not covered by the licence terms above. It is billed according to the estimate or invoice given to that client for that engagement — scope, price and payment terms are whatever that document says, not a standing subscription. Where an estimate or invoice is silent on a point, the general terms in this document apply.

Payments

All payments — licence purchases and consulting invoices alike — are processed by Square. We do not receive or store your card number on our own servers. Recurring subscription charges use a card you have authorized Square to keep on file; you can ask us to remove a card on file at any time by writing to support.

Accounts

You are responsible for the security of your account, including any password and second factor you set up. Sign-in is by magic link or by password with a required second factor; we do not offer sign-in through a third-party account such as Google or Facebook. Dealer accounts may have more than one member; each member is responsible for what they do under their own login.

Support and availability

We support the drivers and platform we sell in good faith and respond to tickets raised through the dealer portal or by email, but we do not promise a specific uptime or response-time figure in these terms.

Changes

We may update these terms as the business changes. If a change matters, we'll update the date at the top of this page.
